Terms of Service

SICKR helps teams adopt AI coding agents through a staged model: observe first, simulate second, then expand into governed workflows with approvals, evidence, and audit. The Services are a product platform — they are not a substitute for human judgment, code review, security review, compliance review, testing, or release controls. You remain responsible for the agents, tools, repositories, systems, and actions you connect to or authorize through SICKR.

• Sickr Terminal — ticketing, feature planning, workflow configuration, agent onboarding, approvals, evidence, audit records, live monitoring, replay, and run/cost insights.
• SICKR CLI — local runtime connectivity, agent-session capture, best-effort secret redaction, and related tooling.
• Enterprise packaging — separately agreed capabilities and services such as SSO, custom integrations, retention, security review, procurement, and rollout support.

We may add, change, or discontinue features. Available plans and prices are described at sickr.ai/pricing, at checkout, or in an order form or pilot agreement.

You sign in to SICKR using GitHub OAuth and are responsible for the security of your GitHub account and any activity under it. You must be at least 18 years old and able to enter into a contract. You may not use the Services if you are subject to applicable sanctions or export restrictions (see Section 22), or on a denied- or restricted-party list.

You may not share your account, use the Services on behalf of someone under 18, or sign in using another person’s identity.

The Services support organizations, workspaces, groups, and teams. An organization owner or administrator may invite users, assign roles, and control access. The organization is responsible for its authorized users’ use of the Services and for managing their access. Administrators may be able to view, configure, export, or remove organization data, including workflow records associated with members.

You are responsible for:

• the agents, runners, tools, credentials, API keys, connected accounts, and machines you authorize through your account, and the actions they take;
• ensuring you have the rights to submit or connect code, repositories, logs, transcripts, files, prompts, tool outputs, evidence, workflow records, and third-party materials;
• reviewing, testing, validating, and approving AI-assisted outputs before you rely on, merge, deploy, or run them; and
• configuring scope, approvals, and safeguards appropriate to the sensitivity of the systems and data you connect.

The Services orchestrate, observe, and record what AI agents do; they do not replace your judgment. AI-generated outputs may be inaccurate, incomplete, insecure, infringing, or otherwise unsuitable, and may vary between runs. You are responsible for human review where appropriate and for deciding what to accept.

Production-critical actions, access to sensitive data, deployments, and irreversible actions must be introduced through deliberate scope expansion, your approval, and appropriate security review. You should not configure agents to take such actions autonomously without the controls and oversight you deem adequate. See our AI-Agent Use and Governance Policy.

SICKR live monitoring and replay are designed for local-first visibility. The CLI records agent sessions to your machine and applies a best-effort redaction layer to known secret patterns before content is written or transmitted. Redaction is a safety net, not a guarantee — you are responsible for what you capture and what you choose to share. When you intentionally create a public share link or start a public live session, you choose to make that content viewable via a URL; public links may be cached or indexed by third parties outside our control. Data handling is described in our Privacy Policy.

Workflow governance records — including tickets, workflow configuration and graphs, approvals, evidence, audit logs, comments, planning records, and metrics — are server-side product records by design, created to operate governed workflows for your organization. They remain your content (Section 9), and we process them to provide, secure, support, and improve the Services as described in the Privacy Policy.

Content you submit or that your agents produce through the Services is yours (“Customer Content”) — prompts, code, file edits, command output, tickets, comments, configuration, evidence, and similar. You retain all intellectual-property rights in Customer Content.

You grant SICKR a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Content solely to provide, secure, support, and improve the Services for you and your organization, and as described in the Privacy Policy. We do not use Customer Content to train third-party foundation models unless you expressly agree. You represent that you have the rights necessary to submit Customer Content and that it does not infringe others’ rights.

The Services integrate with third parties you choose to connect — for example AI/model providers and coding agents (such as Claude Code, Codex, Gemini CLI, Ollama/local runners), GitHub, and Stripe. SICKR does not provide your AI/model subscriptions; you bring your own. Your use of a third-party service is governed by that provider’s terms, and when you enable a cloud-hosted AI/model provider, your data may be processed by that provider under its configuration and terms. SICKR is not responsible for third-party services, their availability, or their outputs.

Your use of the Services is subject to our Acceptable Use Policy and AI-Agent Use and Governance Policy, which are incorporated into these Terms by reference. Violating either is a violation of these Terms.

Features labeled beta, preview, or experimental help us learn with customers before general availability. We label them clearly because they may change, have different support expectations, or be discontinued as we improve the product. Use these features thoughtfully and do not rely on them for production-critical purposes unless your order form or separate written agreement says otherwise.

SICKR and its licensors own the Services, software, and related materials, excluding Customer Content. We grant you a limited, non-exclusive, non-transferable right to use the Services per these Terms. You may not copy, modify, resell, sublicense, or reverse engineer the Services except where law forbids the restriction. You may not use non-public aspects of the Services, documentation, or your access to clone the Services or build a directly competing offering.

If you give us feedback, suggestions, or ideas about the Services, you permit SICKR to use them to improve, operate, and develop the Services without obligation to you. We will not disclose your Confidential Information merely because it was included in feedback.

Each party may access the other’s non-public information. The receiving party will use it only to perform under these Terms and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or rightfully received from a third party, and does not limit disclosures required by law.

We use commercially reasonable administrative, technical, and organizational measures to protect the Services, described on our Security page. No method of transmission or storage is perfectly secure, but we maintain safeguards appropriate to the Services and keep improving them as the platform matures. You are responsible for your own credentials, access controls, and the security of systems you connect.

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted or error-free.

AI coding agents make mistakes. SICKR records, governs, and surfaces what agents do; it does not guarantee the correctness, safety, security, or fitness-for-purpose of any agent output, and does not guarantee that agents will not cause harm. You are responsible for reviewing and deciding what to merge, deploy, and run.

To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to the Services or these Terms.

For free trials and free Services, SICKR’s total liability for all claims will not exceed one hundred U.S. dollars (US$100). For paid self-serve subscriptions, SICKR’s total liability for all claims will not exceed the amounts you paid SICKR for the Services in the twelve (12) months before the event giving rise to liability. Enterprise, pilot, or other signed agreements may set different liability terms for that customer. Some jurisdictions do not allow certain limitations; there, these limits apply only to the extent permitted.

You will defend, indemnify, and hold SICKR harmless from third-party claims arising out of (a) your violation of these Terms, the Acceptable Use Policy, or the AI-Agent Policy; (b) your misuse of the Services or actions taken by agents you authorized; or (c) Customer Content infringing or violating a third party’s rights. Any additional or mutual indemnity commitments apply only where set out in a separate signed agreement.

We may suspend or terminate access if you violate these Terms or our policies, fail to pay, create security or legal risk, or as required by law. Where reasonable, we will give notice and a chance to cure; we may act immediately for serious risk or illegal activity. You may stop using the Services and cancel at any time. On termination, access ends and we retain or delete data per the Privacy Policy retention schedule.

We may update the Services and these Terms. For material changes to these Terms, we will provide notice (for example by email or in-app) before they take effect; continued use after the effective date is acceptance. We may also be required to comply with export and sanctions laws, and you agree not to use the Services in violation of them.

The governing law and venue for these Terms are set out in the order form, pilot, or enterprise agreement that applies to your use of the Services; where such an agreement exists, its governing-law and dispute-resolution terms control for that customer. Absent a separate agreement, Delaware law governs these Terms, without regard to conflicts-of-law rules. The parties will first attempt to resolve any dispute informally through the legal contact form before pursuing other remedies, and each party submits to the state or federal courts with jurisdiction over Delaware matters unless applicable law requires a different forum.

Notices to SICKR under these Terms should be sent electronically through the legal contact form unless a separate signed agreement specifies a different notice process. For product support, use the support contact form. For billing questions, use the billing contact form. If you have entered into a separate written agreement with SICKR, the notice provisions in that agreement may control.

Entire agreement, severability, no waiver, assignment, and force-majeure terms apply as customary; where an order form or signed agreement exists, the order of precedence is that agreement, then these Terms, then referenced policies.
